I. THE PARTIES

The following Buyer Terms & Conditions (“Terms and Conditions”) will act as the legally binding contract (“Agreement”) between you/your business (“Buyer”) and Deeper Discount Deals, LLC (“Deeper Discount Deals”). “Website” will henceforth be used to refer to the domain, any and all directories, and/or any and all subdomains of Deeper Discount Deals. “Buyer” will henceforth be used to refer to any and all purchasers of any and all deals posted on Website. “Vendor” will henceforth be used to refer to any and all sellers of any and all deals posted on Website.

II. TERM, AMENDMENTS, AND TERMINATION

Buyer agrees to be bound by Terms and Conditions upon registration on Website. There is no fee to Buyer for registration on Website.

Buyer agrees to be bound by Terms and Conditions upon purchasing one or more deals on Website. There is no fee to Buyer to purchase a deal(s) on Website.

Terms and Conditions may be periodically amended at the sole discretion of Deeper Discount Deals. Any amended Terms and Conditions will be made available via the Updates page, Newsletter, and/or direct email to Buyer. Buyer agrees that the Updates page, Newsletter, and/or direct email will serve as adequate notice of any amendments to Agreement. Buyer agrees to be bound by any and all amendments to Agreement upon notification and/or with continued use of Website.

Termination of Agreement may be initiated by Deeper Discount Deals or Buyer at any time and for any reason. Termination of Agreement will be completed and go into effect within five (5) business days of all outstanding balances being paid from Buyer to Vendor and/or Deeper Discount Deals. Termination of Agreement will be completed and go into effect within five (5) business days after all refunds requested by Buyer are paid. Closing Buyer account does not nullify the payments of any outstanding balances that are due to Buyer, Vendor, and/or Deeper Discount Deals.

III. PAYMENT

Buyer agrees the total cost of each deal will be collected by Deeper Discount Deals from Website. The total cost will not include taxes (Please see IV. Taxes). Only after total cost is paid will the purchased deal(s) become valid and active.

Buyer agrees that a completed payment transaction for deal(s) constitutes PAYMENT IN FULL. Buyer agrees completed payment transactions cannot be rescinded. Buyer agrees attempting to rescind a completed purchase will ONLY result in a refund, which will be provided according to the refund policy of Deeper Discount Deals. (Please see VI. Refunds and Returns). Buyer agrees that attempting to rescind a completed purchase will ONLY result in a credit to Buyer account in the amount of the purchase price minus any applicable fees incurred by Deeper Discount Deals at the time of purchase.

Buyer agrees information provided for purchase of deal(s) is accurate. Buyer agrees Deeper Discount Deals will not be responsible for purchasing errors if Buyer provides inaccurate payment information.

IV. TAXES

Taxes will not be applied to deal during checkout of deal(s). Vendor agrees to assume responsibility for the determination and collection of any and all taxes at the time of use, if any should apply to each posted deal.

Buyer agrees to pay the taxes assessed to the deal(s) at the time of use, if applicable.

If taxes are required to be applied to a deal posted by Vendor, they will be included in the total cost of the deal. If such a case arises, Vendor agrees not to apply taxes upon submission and use of the deal(s).

V. POSTED DEALS

Deals posted to Website are considered active by Vendor and Deeper Discount Deals.

Deals will be listed with a Retail Price and a Discounted Price. Retail Price will be shown in listing as “Our Price”. Discounted Price will be shown in listing as “Your Price”.

Active deals will be among search results. Inactive deals, i.e., expired deals, will be removed from search results.

Vendor agrees to honor each deal purchased by Buyer for up to six (6) months, specifically 180 days from date and time of purchase, unless otherwise stated in the description of the deal.

The “Your Price” of each posted deal on Website will be at least 10% lower than any comparable deal postings on any and all other websites or in any and all other businesses. “Any and all” includes Vendor website(s) and/or business(es), direct or affiliated. If a lower price of the posted deal is identified by Deeper Discount Deals or Buyer, Vendor agrees “Your Price” will be changed to a minimum of 10% below the identified lower price. Vendor agrees this identified lower price will be honored or be removed from Website.

Buyer may submit a request to lower the price of a deal by 10% if a better deal is found compared to the deal posted on Deeper Discount Deals by Vendor. If a lower price is verified, Vendor agrees to honor the 10% discounted price to Buyer and to future Buyers unless Vendor deactivates and deletes deal from Website.

Vendor agrees to include the Terms and Conditions of each deal in the description. If any Terms and Conditions are unique to any deal(s) to allow for the successful fulfilment of the deal(s), Vendor agrees to include them in description of deal(s).

Buyer may purchase an unlimited number of deals on Website. Vendor agrees to keep each deal current. If any link(s) are found to be faulty within the page of the deal, Buyer may inform Deeper Discount Deals to request link(s) be corrected. If link(s) are not corrected, deal(s) will be deactivated and subsequently deleted.

Vendor agrees to honor each deal purchased through Website by Buyer.

Vendor assumes all responsibility for each posted deal.

Buyer agrees each deal may be discontinued and/or deactivated and deleted at the Vendor’s sole discretion. All deals purchased prior to deactivation and deletion from Website shall be honored by Vendor. Buyer must complete deal as stated. If deal is no longer available, Vendor agrees to offer Buyer a comparable deal. If no comparable deal is available or Buyer rejects offer of comparable deal, Buyer may request a refund, which will be provided according to the refund policy of Deeper Discount Deals. (Please see VI. Refunds and Returns).

Buyer agrees Deeper Discount Deals may, at any time, deactivate and delete any deal posted by Vendor on Website at the discretion of Deeper Discount Deals. If payment has been completed for deals deactivated and deleted by Deeper Discount Deals, Buyer agrees to either complete the deal as stated prior to deletion or accept a refund according to the refund policy of Deeper Discount Deals. (Please see VI. Refunds and Returns).

Buyer agrees that any third party associated with any and all posted deals is Vendor’s sole responsibility in relation to any agreements, requirements, prerequisites, fulfillment, etc. Buyer agrees not to hold Deeper Discount Deals responsible or liable for any interactions involving third party.

VI. REFUNDS AND RETURNS

Buyer agrees to adhere to the No Refunds and/or No Returns policy if indicated in the description of all deals posted by Vendor. Buyer agrees the indicated No Refunds and/or No Returns policy will serve as proof of Vendor’s No Refunds and/or No Returns policy.

Buyer agrees refunds will not be issued monetarily, i.e., remitted to debit/credit card, as cash, as gift cards, etc.

Buyer agrees any and all refunds from Deeper Discount Deals and/or Vendor will be in the form of a credit to Buyer’s account to allow Buyer to apply the cost of the deal to another deal on Website. Fees incurred by Deeper Discount Deals at the time of purchase will be deducted from refund and subsequently the credit amount. Any and all deals on Website are applicable for this subsequent purchase.

Buyer agrees Deeper Discount Deals will accept and execute refund requests corresponding to “Your Price” up to 48 hours following purchase of any posted deal. Refunds made to Buyers up to the 48 hours following purchase of any posted deal will be in the form of a credit to Buyer’s account in the amount of the purchase price to allow Buyer to apply the cost of the deal to next purchase on Website. All credit balances will be applied to subsequent deal(s) purchased until the credit balance reaches zero. Fees incurred by Deeper Discount Deals at the time of purchase will be deducted from refund and subsequently the credit amount.

Buyer agrees Vendor will handle refund requests 48 hours after purchase according to Vendor Refund Policy. Vendor Refund Policy will be included in the Refund Policy section of the Deal [Offers] form.

The time of purchase will be known by Buyer and Vendor. Cutoff time for refund remittance by Deeper Discount Deals is 47 hours 59 minutes 59 seconds.

Credit balances will remain in Buyer’s account indefinitely. Credit balance cannot be transferred. Credit balance will be forfeited if Buyer closes account.

VII. EXPIRED DEALS

Deals may be deactivated by Vendor at any time. Deals that are deactivated but not yet deleted will be considered expired. Expired deals will remain listed on Website for up to 30 days. Vendor may reactivate deal at any time.

Buyer may request an expired deal be reactivated. Reactivation of an expired deal is completely at the discretion of Vendor.

Active deals will be among search results. Inactive deals, i.e., expired deals, will be removed from search results.

VIII. DIRECTORY LISTING

Buyer my find Vendors with active deals listed in Directory if Website presents Directory listings.

IX. PERSONAL DATA USAGE

Buyer data provided during registration will not be provided to any third party associated with Deeper Discount Deals, including any affiliates.

Vendor will have access to Buyer information during or prior to remittance of Vendor deal. Buyer may agree to provide registration information to Vendor who offered deal Buyer purchased, as well as Vendors who offer related deals on Website.

X. GOVERNING LAW

This Agreement shall be construed and governed by the laws located in the state of Buyer and the Vendor. Buyer assumes all responsibility regarding the laws governing the purchase of the deal(s) in the state of Buyer. Vendor assumes all responsibility regarding the laws governing the sale of the deal in the state of Vendor. Buyer agrees to confirm the legality of the purchase of deal(s) in the location of Buyer. Buyer agrees Deeper Discount Deals has no responsibility and will not be held liable for the purchase of any and all Vendor deals deemed to be illegal in the state of the Buyer and/or the state of the Vendor.

Buyer agrees to indemnify and hold harmless Deeper Discount Deals, LLC, Website, its employees, agents, and officers from and against any and all claims, charges, demands, damages, liabilities, losses, expenses, and liabilities of whatever nature and howsoever arising (including but not limited to any legal or other professional fees and the costs of defending or prosecuting any claim and any other direct or consequential loss) incurred or suffered directly or indirectly as a result of purchasing, fulfilling, and using any and all deals listed on Website.

Buyer agrees any dispute against Deeper Discount Deals be solely between Buyer and Deeper Discount Deals. Deeper Discount Deals agrees any dispute against Buyer be solely between Deeper Discount Deals and Buyer. Buyer and Deeper Discount Deals will not initiate or be a part of any class action law suit regarding Terms and Conditions in Agreement.

Any fees incurred due to a law suit brought against Deeper Discount Deals by Buyer, in the event there is a ruling in favor of Deeper Discount Deals, will be paid by Buyer.

XI. BINDING EFFECT

Deeper Discount Deals does not authorize the transfer or assignment of Agreement without written consent by an authorized signatory of Deeper Discount Deals. The transfer or assignment of Agreement by Deeper Discount Deals may be made without consent of or prior notice given to Buyer.

This Agreement will pass to the benefit of and be binding upon the respective heirs, executors, administrators, successors, and permitted assigns of Buyer.

XII. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties. There are no further items or provisions, either oral or otherwise. Any amendments to Agreement will be provided to Vendor (See II. Term, Amendments, and Termination).

If any provision (or portion thereof) of this Agreement shall be held by a court of competent jurisdiction to be invalid, void, or otherwise unenforceable, the remaining provisions shall not be affected and shall remain valid and enforceable to the fullest extent permitted by law.
